The tax treatment of corporate reorganizations, such as mergers, company splits, share exchanges, and share transfers, can vary significantly depending on how the transaction is structured. For mergers and company splits that satisfy certain requirements and qualify as “tax-qualified” reorganizations under Japanese tax law, unrealized gains on assets are generally not taxed at the time of the transaction, and the tax basis of the assets can be carried over. On the other hand, if the requirements for tax-qualified treatment are not met, the transferred assets may be deemed to have been transferred at fair market value, which may result in significant tax liabilities for the parties involved.

The requirements for tax-qualified treatment vary depending on the type of transaction and may include factors such as the capital relationship between the parties, the form of consideration, the continuity of the business, the transfer of employees, and the transfer of major assets and liabilities. Even transactions that appear similar may produce very different tax consequences depending on how the transaction is structured. It is therefore important to identify the relevant tax issues and carefully assess whether the applicable requirements are satisfied before implementing the transaction.

税制適格となるための要件は、当事者間の資本関係、株式その他の対価の内容、事業の継続性、従業員の引継ぎ、主要な資産・負債の移転など、取引の形態によって異なります。また、一見すると似たような取引であっても、スキームの組み方によって税務上の結果が大きく変わる場合があります。そのため、取引を実行する前の段階で税務上の論点を整理し、適格要件を慎重に確認することが重要です。
